Introduction This paper outlines my perspective of some aspects of Brazil that are of practical importance to U.S. businesses. That perspective is that of a U.S. attorney who off and on for twenty-five years has handled the legal aspects of business transactions involving Brazil. Three of those twenty-five years were spent in So Paulo Brazil where I worked as Legal Affairs Manager for Ford Brasil S.A. This paper first looks at why U.S. businesses should be interested in doing business with or in Brazil. It then outlines some historical geographic economic human and legal aspects of the country and looks at their implications for U.S. businesses. It ends with a brief look at four potential pitfalls for U.S. businesses structuring Brazilian deals. As the paper’s title indicates it is far from a comprehensive treatment of the subject and it does not discuss the substance of Brazilian law. Why Brazil?
